UGC Scout Content License Terms
Last updated: October 20, 2026
These Content License Terms apply to every booking completed through UGC Scout (“Platform”). By accepting a booking as a Creator or by booking and approving Content as a Brand, you agree to these terms. Capitalized terms not defined here have the meanings given in the Platform’s Terms of Service.
1. Ownership
Creator retains all right, title, and interest, including copyright, in and to the Content (the video, images, audio, or other materials Creator delivers in response to a booking). No assignment of ownership is made except as expressly stated in a separate written agreement. All rights not expressly granted are reserved by Creator.
2. License to Brand
Effective upon full payment of the booking and Brand’s approval of the Content (or automatic approval under the Platform’s rules), Creator grants Brand a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to:
- reproduce, modify (including cropping, resizing, adding captions, subtitles, or minor edits), distribute, publicly display, publicly perform, and create derivative works of the Content;
- use the Content for any commercial, advertising, marketing, or promotional purpose; and
- do so in all media now known or later developed, including organic social media, paid advertising (Meta, TikTok, YouTube, and other platforms), websites, email, landing pages, and similar channels.
The license is sublicensable solely to Brand’s affiliates, agencies, and advertising or technology partners to the extent necessary to exercise the rights above. Brand may not resell the Content as a standalone asset to third parties.
3. Name, Image, and Likeness
Creator grants Brand a limited right to use Creator’s name, image, likeness, and voice solely as they appear in the Content and solely in connection with the uses permitted by Section 2.
4. Creator’s Residual Rights
Creator may continue to use the Content in Creator’s portfolio, on Creator’s own social channels for non-commercial or self-promotional purposes, and for other non-competing personal uses. Creator may not license the same Content to a direct competitor of Brand in the same product category during any period of category exclusivity that the parties have separately agreed to in writing.
5. Platform License
Creator grants the Platform a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit the Content as necessary to operate the marketplace, facilitate the booking, and (with Creator’s profile settings) promote Creator’s availability. This license ends when Creator deletes the Content from the Platform, except for archival copies retained for legal or operational purposes.
6. Representations and Warranties
Creator represents and warrants that:
- Creator owns or has all rights necessary to grant the licenses in these terms;
- the Content is original and does not infringe any third-party copyright, trademark, publicity, or other right;
- any music, sound effects, or other third-party materials used in the Content are properly licensed or royalty-free for the uses granted here (or were provided by the Platform’s licensed library, if any); and
- the Content complies with applicable law, including advertising disclosure rules where relevant.
7. Indemnification
Creator agrees to indemnify and hold harmless Brand and the Platform from claims arising out of Creator’s breach of the representations in Section 6, subject to ordinary limitations and procedures set out in the Platform’s Terms of Service.
8. Survival and Termination
The licenses granted to Brand in Sections 2 and 3 survive termination or expiration of the Platform relationship and may be terminated only for material breach by Brand that remains uncured after written notice. Creator may not revoke the license after approval solely because Creator later changes their mind or no longer wishes to be associated with Brand.
9. Optional Add-Ons
Category exclusivity, full assignment, extended whitelisting/Spark Ads authorization, or other expanded rights are available only if expressly selected and paid for as an add-on during the booking. Those additional terms will be stated at the time of selection and incorporated into the booking.
10. Miscellaneous
These terms are governed by the same law and dispute-resolution provisions that govern the Platform’s Terms of Service. If there is a conflict between these Content License Terms and a specific written addendum agreed by both parties for a particular booking, the addendum controls for that booking only.
